Terms of Service

1. Acceptance
These Terms govern your use of Truvo's public websites and any Services that are not governed by a separate written agreement. If you use the Services for an organization, you confirm that you have authority to bind that organization.
A signed proposal, statement of work, order form, or other client agreement controls if it conflicts with these Terms.
2. Services Provided
Truvo designs, builds, operates, and supports tailored software and AI-enabled operational systems. Depending on the engagement, Services may include customer communication and intake, voice assistants, workflow automation, portals, back-office and administrative tools, document and data processing, integrations, reporting, and campaign or other client-specific operations.
The applicable client agreement defines the exact scope, deliverables, success criteria, support obligations, service levels, and any approved third-party providers. Features and providers may change as the Services evolve, subject to that agreement.
3. Account Responsibilities
You are responsible for:
- Keeping credentials confidential and limiting access to authorized users.
- Ensuring that you have the right to provide content, data, system access, and instructions used by the Services.
- Using the Services in compliance with applicable laws and agreements.
- Obtaining required notices and consents for call recording, messaging, AI-assisted interactions, and data collection.
- Providing timely decisions, approvals, access, and accurate information.
4. Fees & Billing
Fees, payment schedules, usage charges, approved pass-through costs, credits, and renewal terms are defined in the applicable proposal, statement of work, order form, client agreement, or platform account.
5. Intellectual Property
Intellectual-property ownership and license rights are governed by the applicable client agreement. Unless that agreement states otherwise, Truvo retains ownership of its pre-existing software, reusable components, methods, infrastructure, documentation, and branding. Clients retain ownership of their underlying business data and content.
You grant Truvo a limited license to process client-provided data and content only as needed to provide, secure, support, and maintain the Services in accordance with the applicable agreement and our Privacy Policy. Ownership or licensing of custom deliverables is determined by the applicable client agreement.
6. AI and Automated Systems
The Services may generate communications, classify or extract information, recommend actions, or take configured actions automatically. Automated output can be incomplete, inaccurate, or inappropriate for a particular situation. Clients and authorized users are responsible for applying appropriate human review where an output could have material operational, financial, legal, employment, safety, or customer consequences.
7. Limitation of Liability
To the extent permitted by law and unless an applicable client agreement states otherwise, Truvo is not liable for indirect, incidental, special, or consequential damages. Truvo's aggregate liability will not exceed the fees paid for the affected Services during the three months before the event giving rise to the claim.
8. Suspension and Termination
Suspension, termination, renewal, and transition obligations are governed by the applicable client agreement. Truvo may suspend access when reasonably necessary to address a security risk, unlawful or abusive use, material nonpayment, or a material violation of these Terms or the applicable agreement. After termination, data is handled according to the applicable client agreement, our Privacy Policy, and legal, security, backup, and operational retention requirements.
9. Governing Law
Unless an applicable client agreement states otherwise, these Terms are governed by the laws of the State of Texas, USA.
10. Transactional SMS Communications
Some Services may send transactional or service-related SMS messages on behalf of a client after a recipient requests information or services, or otherwise provides consent through a disclosed client workflow. Truvo does not operate a general marketing-text program.
